As the Managing Shareholder of RatnerPrestia’s Wilmington Office, a co-manager of the RatnerPrestia’s Trademark and Copyright practices, and member of the Litigation & Dispute Resolution practice groups, Mr. Donnelly’s transactional practice reflects a mix of trademark-oriented licenses and agreements, as well as agreements arising from the settlement or avoidance of litigation or other disputes.  Mr. Donnelly has also helped clients evaluate and document intellectual property rights pursuant to transfers arising from mergers and acquisitions.  Mr. Donnelly has drafted and assisted clients in negotiating license agreements to settle of patent litigation, including licenses creatively addressing tricky issues related to most-favored-licensee clauses and assignability provisions; coexistence agreements for resolving trademark oppositions and cancellations or for securing allowance of trademark registrations, including agreements with worldwide scope resolving disputes in multiple jurisdictions; confidentiality and non-disclosure agreements relating to trade secrets and pending patent applications; and assignment agreements relating to trademark registrations, patents, and/or copyrights.

Mr. Donnelly strives to craft agreements that realistically meet clients’ needs and that are acceptable to their adversaries, while providing as much certainty where possible and practical, but also reflecting strategic business considerations without allowing tangential issues to derail negotiations or consume time and energy necessary to reach final and effective agreements.  Mr. Donnelly’s combination of industrial experience, technical background, and business acumen fosters creation of comprehensive agreements that focus on meeting strategic objectives.
